Terms and conditions for the use of ALUNATEC APEX
*Working translation. In case of differences in interpretation, the German version prevails (§ 11 (3)).*
§ 1 Contracting parties and scope
(1) The contracting party for the use of the ALUNATEC APEX platform at app-alunatec.de is ALUNATEC Ingenieurbüro, owner Andreas Miemczyk, Deipe Laake 34, 33106 Paderborn, Germany ("ALUNATEC"). ALUNATEC develops and operates the platform.
(2) Credits are purchased from ANKORATEC GmbH, Deipe Laake 34, 33106 Paderborn, Germany ("ANKORATEC"). The purchase contract, payment and invoice are concluded exclusively with ANKORATEC; § 4 applies to this. Otherwise, these terms govern the use of the platform in relation to ALUNATEC.
(3) ANKORATEC sells the credits in its own name and for its own account. ALUNATEC provides the use of the purchased credits on the platform.
(4) The offer is directed exclusively at businesses within the meaning of Section 14 of the German Civil Code (BGB). On registration and before each purchase, the customer confirms that it is acting as a business. The company name and billing address must be provided when purchasing; a VAT identification number may be provided.
(5) Deviating terms of the customer do not apply, even if ALUNATEC or ANKORATEC do not expressly object to them.
§ 2 Services
(1) The platform provides web-based engineering tools, currently tolerance analysis for LED systems (app LED Tolerance). The calculations are carried out on servers operated by ALUNATEC.
(2) Tools marked as "coming soon" are not part of the contract.
(3) The platform can in principle be used worldwide around the clock (24 hours a day, 7 days a week, regardless of time zone). Interruptions due to maintenance, technical faults or failures of involved services are possible. No specific availability is promised.
(4) As long as ALUNATEC offers the free trial, a one-time free trial credit of ten credits for LED Tolerance can be activated per account via the "Start free trial" button. Trial credits do not expire, are not transferable and are not paid out; there is no entitlement to the free trial being offered.
§ 3 Account
(1) Use requires an account. Access data must be kept confidential. The customer is responsible for actions taken via its account to the extent it is responsible for them.
(2) An access is intended for one person. Access data must not be shared or passed on to third parties. For several persons, ALUNATEC and ANKORATEC provide an individual offer on request (Enterprise).
§ 4 Purchase of credits from ANKORATEC, prices and payment
(1) Use is based on credits. 1 credit entitles the customer to one calculation ("Calculate" button) with RSS and Cpk evaluation. The PDF export of the results does not use another credit.
(2) Credits are purchased from ANKORATEC in packages: Starter 10 credits EUR 49, Pro 25 credits EUR 99, Team 100 credits EUR 299, Power 400 credits EUR 999. All prices are net prices plus the applicable statutory VAT. VAT is determined during checkout based on the customer's country and any VAT identification number provided and is shown on the invoice.
(3) Payment is made on ordering via the payment service provider Stripe. Credits are added after successful payment. If the purchase of credits is temporarily unavailable, this is shown in the purchase dialog; no purchase is concluded in that case.
(4) Purchased credits are valid without time limit and do not expire.
(5) Credits are not transferable to other users and are not regularly paid out in cash. Statutory refund claims and the provision in paragraph (6) remain unaffected.
(6) If a payment is refunded or charged back, the credits added for it are deducted again.
(7) After successful payment, ANKORATEC issues an invoice; it is sent by email and can also be retrieved via the payment service provider Stripe.
(8) Individual offers (Enterprise) are agreed separately.
§ 5 Responsibility for results
(1) The calculations and evaluations provided serve exclusively to technically support the customer in engineering pre-assessment. They do not replace FEM, CFD, optical, tolerance or series release testing.
(2) Technical review, plausibility checks and release of the results remain with the customer. The results do not constitute a release. The customer is responsible for inputs, in particular units, tolerances and assumptions.
§ 6 Liability
(1) ALUNATEC for the platform and ANKORATEC for the purchase of credits are each liable without limitation for intent and gross negligence, for injury to life, body or health and under the German Product Liability Act.
(2) In the event of a slightly negligent breach of essential contractual obligations, the party concerned is liable limited to the foreseeable damage typical for the contract.
(3) Otherwise, liability for slight negligence is excluded.
§ 7 Rights to the software
(1) All calculation algorithms, methods, evaluation logic and data structures are the intellectual property of ALUNATEC. Calculations are carried out exclusively on the server side; they are not disclosed.
(2) For the term of the contract, the customer receives a simple, non-transferable right to use the platform for its own purposes. The customer may use the reports it generates without restriction.
(3) It is prohibited to replicate the calculation logic by systematic queries or to read out the platform automatically.
§ 8 Data
The privacy policy applies to personal data. Projects are not stored on ALUNATEC's servers. They exist only temporarily in the open browser window; there is currently no automatic project storage. The customer is responsible for saving via the manual JSON export.
§ 9 Term and termination
(1) The account contract runs for an indefinite period. The customer may terminate it at any time in text form, e.g. by email. There is no obligation to make further purchases and no automatic paid renewal.
(2) Existing credits can continue to be used after termination; they do not expire merely because of termination and are not regularly paid out.
(3) ALUNATEC may terminate the account contract with four weeks' notice in text form. Rights already acquired are settled separately; statutory claims remain unaffected.
(4) If there are specific indications of unauthorised access, a significant security risk or material misuse in breach of contract, access may be temporarily blocked to the extent necessary. Where this does not jeopardise protection, the customer is informed of the reason and how to resolve it. The block is lifted once the reason no longer applies.
(5) If the customer requests deletion of its account, the handling of any remaining credit balance is clarified with the customer before deletion; the account is deleted only thereafter. Statutory claims remain unaffected.
(6) If ALUNATEC discontinues operation of the platform, paragraph (3) sentence 2 applies accordingly: unused purchased credits are settled separately; statutory claims remain unaffected.
§ 10 Changes to these terms
Changes to these terms are offered to the customer by email by ALUNATEC or – for § 4 – by ANKORATEC, with a comparison of the main changes and the intended effective date, generally six weeks in advance. Silence alone does not constitute consent. Where a change requires consent, it is obtained separately. Without an effective change, the previous agreement continues to apply to rights already acquired.
§ 11 Final provisions
(1) The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods. Mandatory provisions remain unaffected.
(2) The place of jurisdiction is Paderborn, to the extent this can be validly agreed, in particular where the customer is a merchant, a legal entity under public law or a special fund under public law.
(3) These terms are provided in German and English. In case of differences in interpretation, the German version prevails.
(4) Should a provision be invalid, the validity of the remaining provisions remains unaffected.
